Terms of Service

Effective July 16, 2026 · Sage (SEOMatic) · Contact: sageatseomatic@gmail.com

These terms govern your use of Sage, an SEO and AI-search (GEO) service for Shopify brands. By signing up for the service, paying an invoice, or granting Sage access to your store or accounts, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company. These terms are written to match what the service actually does — the same way our Privacy Policy is.

1. Who we are

Sage is operated by Khushi Dassani ("Sage", "we", "the operator"), a sole proprietor based in Bengaluru, India. "You" or "client" means the person or business purchasing the service.

2. The service

Sage is a productized SEO service, not a self-serve software product. Each week, Sage assesses your account — Search Console data, a crawl of your site, competitor activity — and proposes ranked opportunities. Work is then executed against what has been approved. Depending on the week, the service includes:

What the service does not include

To avoid any ambiguity, the following are outside the scope of the service: paid advertising (Google Ads, Meta Ads, or any paid channel); developer work such as image compression, JavaScript or CSS optimisation, or site speed code changes (we flag these for your developer, we do not perform them); social media management; and the purchase of links or any tactic that violates Google's spam policies.

Approval-gated changes

Changes to existing pages on your store are made only after you approve them in the portal. Brand-new pages with no prior version (such as new blog drafts) are created as drafts or optimised on first pass and remain subject to your review. You are always able to reject a proposed change, with a note, before it goes live.

3. No guarantee of results

Read this section carefully — it is the most important one. Search rankings, organic traffic, revenue, and AI-answer citations depend on third-party systems (Google, Shopify, AI answer engines) whose algorithms we do not control and which change without notice. Sage does not guarantee, and you should not expect us to guarantee, any specific ranking, position, traffic level, citation, revenue outcome, or timeframe for results. SEO compounds slowly; meaningful movement typically takes months, and it is possible for rankings to decline for reasons unrelated to our work (algorithm updates, competitor activity, site changes made by you or your developer). What we commit to is the work itself: the weekly assessment runs, the audits are honest, and everything we do is visible to you in your portal and reports. A ranking not improving, or declining, is not a breach of these terms.

4. Your responsibilities

5. Fees and payment

The service is a flat subscription (billed monthly, or biweekly if you choose that option) plus a one-time setup fee, at the prices published on this website or agreed with you in writing at the time you sign up. There are no hidden fees, no usage-based charges, and no automatic price escalations: your price does not change without notice to you. If we change published pricing, existing clients are notified in writing at least 30 days before the new price applies, and you may cancel before it takes effect.

6. Term and cancellation

The service runs on a rolling monthly or biweekly basis, matching your billing cycle. There is no minimum term, no lock-in, and no cancellation fee.

7. Refunds

We do not offer refunds for time already paid for. Because billing runs on a rolling monthly or biweekly cycle at your choice, you always have a near-term opportunity to cancel before the next charge — this is the safety valve in place of refunds. Independent of that: the discounted first month already exists so you can see the work before paying full price, and the one-time setup fee covers real onboarding work performed and is non-refundable once onboarding has been completed.

8. Intellectual property

9. Confidentiality

Each side agrees to keep the other's non-public information confidential and to use it only for the engagement. For us that means your business data, performance numbers, and plans; for you that means our internal methods, tooling, and pricing terms not published on this site. This survives the end of the engagement. Disclosures required by law are excepted. We will not name you as a client in public marketing or case studies without your prior consent.

10. Data and privacy

How Sage accesses, uses, stores, and deletes data — including Google user data and Shopify store data — is governed by the Privacy Policy, which is part of these terms. In short: read-only access to Search Console and GA4; Shopify access that reads products, collections, pages, and blogs and writes only client-approved changes (never customer, order, or payment data); Gmail access that creates drafts and never sends automatically; and deletion of your credentials and workspace when you leave or on request. If these terms and the Privacy Policy ever appear to conflict about data handling, the Privacy Policy controls.

11. Third-party services

The service depends on platforms we do not control: Google (Search, Search Console, Analytics, Gmail), Shopify, Anthropic's Claude API, and our hosting provider (Fly.io). We are not responsible for their outages, API changes, policy decisions, account suspensions, or algorithm updates, or for the consequences of you breaching their terms. Your use of those platforms is governed by your own agreements with them.

12. Beta features

Features labelled "beta" (currently backlink outreach) are provided as-is, may change or be withdrawn, and carry no commitment about outcomes — securing editorial coverage depends entirely on third-party journalists and publishers. Beta status is disclosed on the pricing page and in the portal.

13. Disclaimer of warranties

Except as expressly stated in these terms, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, and without any warranty that the service will be uninterrupted or error-free, or that any particular search, traffic, citation, or revenue outcome will occur (see Section 3). We do warrant that work we perform will be done with reasonable skill and care.

14. Limitation of liability

To the maximum extent permitted by law:

15. Indemnification

You agree to indemnify and hold the operator harmless from third-party claims, and reasonable costs arising from them, to the extent caused by: (a) materials, product claims, or instructions you provided (for example, a product claim that turns out to be unlawful, or brand content that infringes someone's rights); (b) your breach of these terms or of the third-party platform terms that apply to your accounts; or (c) your unlawful use of the service or of deliverables after we hand them over. This is not one-way in spirit: we are responsible for our own conduct, and Section 14's cap applies to claims against us as permitted by law.

16. Changes to the service and these terms

The service evolves — capabilities are added, and occasionally removed when audits find they do not work as claimed (we correct our public claims when that happens rather than leaving them up). We may update these terms; if we do, the effective date above changes and material changes are communicated directly to active clients before they take effect, with the right to cancel before the new terms apply. We will not change terms retroactively for a period you have already paid for.

17. Governing law and disputes

These terms are governed by the laws of India, with the courts at Bengaluru, Karnataka having exclusive jurisdiction. Before starting any formal proceedings, both sides agree to attempt in good faith to resolve any dispute informally by email for at least 30 days.
